1. INTRODUCTION AND ACCEPTANCE
These Terms and Conditions govern the sale of goods and services by ABC School Supplies Ltd, a company registered in Ireland (hereinafter referred to as the Company, we, us, or our) to customers (hereinafter referred to as you or your) through our website, telephone orders, or any other sales channel.
By placing an order with us, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not place an order.
We reserve the right to amend these Terms and Conditions at any time. Any changes will be posted on our website and will apply to orders placed after the date of posting.

We are a leading supplier of Educational Books, Maths and Science Equipment, and School Resources to Pre-schools, National Schools, and Secondary Schools throughout Ireland and Europe.
3. CONTRACT FORMATION
When you place an order, you are making an offer to purchase goods subject to these Terms and Conditions. Your order constitutes an offer which we may accept or reject at our discretion.
A binding contract is formed only when we dispatch an order confirmation email to you. This confirmation will include your order number, items ordered, prices, and estimated delivery timeframe.
We reserve the right to refuse or cancel any order at any time before dispatch, including but not limited to cases involving pricing errors, product unavailability, suspected fraud, or breach of these Terms and Conditions.
4. PRICING AND AVAILABILITY
4.1 Pricing
All prices are displayed in Euro and include VAT at the current rate where applicable. We make every effort to ensure that prices displayed on our website and promotional materials are accurate. However, errors may occasionally occur.
In the event of a pricing error, we will contact you as soon as reasonably possible to inform you of the correct price. You will have the option to proceed with the order at the correct price or cancel without charge. If we cannot contact you, we reserve the right to cancel the order and provide a full refund.
Prices are subject to change without notice. The price applicable to your order will be the price displayed at the time you place your order, subject to correction of manifest errors.
4.2 Product Availability
All products are subject to availability. While we make every effort to ensure adequate stock levels, occasionally items may become unavailable after you place your order.
If a product becomes unavailable, we will contact you to offer suitable alternatives or the option to cancel that item from your order with a full refund for the unavailable item.
4.3 Product Descriptions
We make every effort to ensure product descriptions, specifications, and images are accurate. However, we do not warrant that descriptions are complete, current, or error-free. If a product is not as described, your sole remedy is to return it in accordance with our Returns Policy.
5. PAYMENT TERMS
5.1 Payment Methods
We accept the following payment methods:
1. Debit cards (payment required at time of ordering)
2. Credit cards (payment required at time of ordering)
3. Invoice/Credit Account (available only to eligible government-funded schools and nurseries in the Republic of Ireland)
All card payments are processed securely through our payment provider. We do not store complete card details on our systems.
5.2 Credit Accounts
Government-funded schools and nurseries based in the Republic of Ireland may apply for a credit account by selecting the Invoice the School option during checkout. Credit accounts are subject to approval and credit checks at our sole discretion.
Approved credit account customers will be offered 30 days net payment terms from the date of invoice. Payment is due in full within 30 days of the invoice date.
5.3 Late Payment
ABC School Supplies Ltd reserves the right to apply a late payment charge of 2% per month (calculated on a daily basis) on all invoices that remain unpaid after the due date. This charge will continue to accrue until the outstanding balance is paid in full.
We also reserve the right to suspend credit facilities and pursue debt recovery through appropriate legal channels for persistently late or non-paying accounts. You will be liable for all reasonable costs incurred in recovering outstanding debts, including legal fees and collection agency charges.
In accordance with the Late Payment in Commercial Transactions Regulations, we may also charge statutory interest on late payments.
6. DELIVERY AND RISK
Delivery terms, shipping methods, timeframes, and associated costs are detailed in our separate Shipping and Returns Policy document, which forms part of these Terms and Conditions.
Risk of loss or damage to products passes to you upon delivery. Title to products passes to you upon receipt of full payment.
We will not be liable for any delay or failure to deliver due to circumstances beyond our reasonable control, including but not limited to acts of God, strikes, lockouts, accidents, war, fire, breakdown of plant or machinery, or shortage of materials or labour.
7. RETURNS, REFUNDS, AND CANCELLATIONS
Our returns, refunds, and cancellation policies are detailed in our separate Shipping and Returns Policy document, which forms part of these Terms and Conditions. Nothing in these terms affects your statutory rights under Irish and EU consumer protection legislation.
8. YOUR STATUTORY RIGHTS
Nothing in these Terms and Conditions affects your statutory rights as a consumer under Irish and European Union law, including but not limited to:

9. LIABILITY AND INDEMNITY
9.1 Limitation of Liability
Nothing in these Terms and Conditions excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be excluded or limited under applicable law.
Subject to the above, our total liability to you in respect of any loss or damage arising out of or in connection with your order, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the price paid for the relevant products.
We shall not be liable for any indirect, consequential, or special losses or damages, including but not limited to loss of profits, loss of business, loss of revenue, loss of anticipated savings, or loss of data.
9.2 Product Safety and Suitability
All products are supplied in accordance with applicable safety standards. However, it is your responsibility to ensure that products are suitable for their intended purpose and are used in accordance with manufacturer instructions and applicable safety guidelines.
Educational materials and equipment should be used under appropriate supervision. We recommend that teachers and administrators review all products for age-appropriateness and safety before use with students.
9.3 Third-Party Products
We act as a reseller for many products manufactured by third parties. While we select products carefully, we are not the manufacturer and cannot be held responsible for manufacturing defects beyond the remedies set out in these Terms and Conditions and your statutory rights.
10. INTELLECTUAL PROPERTY
All intellectual property rights in our website, marketing materials, product descriptions, images, and other content belong to us or our licensors. You may not reproduce, distribute, modify, or create derivative works from any of our content without prior written permission.
Product names, logos, and trademarks displayed on our website belong to their respective owners. Nothing in these Terms and Conditions grants you any right to use such names, logos, or trademarks.
11. DATA PROTECTION AND PRIVACY
We are committed to protecting your privacy and personal data in accordance with the General Data Protection Regulation (GDPR) and the Data Protection Act 2018.
We collect and process personal data necessary to fulfil your order, including name, delivery address, email address, telephone number, and payment information. This data is used solely for order processing, delivery, customer service, and compliance with legal obligations.
We will not share your personal data with third parties except as necessary to fulfil your order (e.g., with delivery companies) or as required by law. We maintain appropriate security measures to protect your data.

12. COMPLAINTS AND DISPUTE RESOLUTION

13. FORCE MAJEURE
We shall not be liable for any failure or delay in performing our obligations under these Terms and Conditions where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, government actions, war, fire, flood, explosion, civil unrest, industrial disputes, adverse weather conditions, or failure of public or private telecommunications networks.
14. SEVERABILITY
If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable by a court or other authority, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.
15. ENTIRE AGREEMENT
These Terms and Conditions, together with our Shipping and Returns Policy and Privacy Policy, constitute the entire agreement between you and ABC School Supplies Ltd and supersede all previous agreements, representations, and understandings relating to your purchase.
16. GOVERNING LAW AND JURISDICTION
These Terms and Conditions are governed by and construed in accordance with the laws of Ireland. The Irish courts shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms and Conditions, subject to your rights to use alternative dispute resolution services.
However, if you are a consumer residing in another EU member state, you may also bring proceedings in the courts of that member state.
